These Terms of Service (the “Terms”) are a contract between you and Optimize Everything (“we,” “us,” or “our”) for use of our websites, applications, and APIs (the “Services”), including opteverything.com and app.opteverything.com. By creating an account or using the Services, you agree to these Terms and to our Privacy Policy.

1. The Services

Optimize Everything operates a marketplace for cost-sharing carpool and multimodal trips. Riders publish travel contracts. Operators and algorithms may bid to fulfill those contracts. Trips may include carpool legs, public transit, walking, and partner-platform bookings you complete yourself. This is a cost-sharing carpool, not a for-hire taxi or TNC ride. Rider contributions are meant to cover a share of trip costs. Drivers are not paid a profit on carpool work.

We provide the marketplace, payments rails, verification, and related tools. We are not a transportation carrier. Operators are independent. We do not employ them to drive you.

2. Eligibility and accounts

You must be an adult able to form a contract in your jurisdiction. You must give accurate information, verify your email and phone, and keep your credentials secure. You are responsible for activity on your account. We may suspend or close an account that is unsafe, fraudulent, or in breach of these Terms.

3. Roles

  • Riders request trips, set a value function and constraints, and pay the amount their contract and the completed trip require.
  • Operators offer vehicle capacity on a commute-style shift, accept or reject out-of-schedule work, and are compensated on the terms of their operator contract and completed trips, subject to the cost-recovery cap.
  • Algorithm operators and developers may bid and route through the public API under these Terms and any API-specific rules we publish.

4. Trip contracts

When you confirm a trip request, we record a binding trip contract for that request. Each confirmed trip is a separate contract. Repeating trips each need their own confirmation. The price, windows, cancellation amounts, pooling, transit, and partner options you confirm in the app are part of that contract. If a trip-specific term conflicts with a general statement here, the trip term controls for that trip.

Contracts can be listed, bid on, sold, split, or assigned through the marketplace. Sale of a contract changes who owns the commercial obligation. It does not change who originally requested the trip.

5. Pricing and payment

You authorize Optimize Everything and its payment processor (Braintree) to place holds and to charge the payment method you have on file for amounts you owe, including trip charges, cancellation amounts, and fees disclosed at the time. Your final rider charge is calculated when the trip is completed or otherwise resolved and will not exceed the maximum you approved.

Operator compensation on a sold operator contract is paid for completed work and is funded by the contract owner. Surplus above cost recovery on a non-profit / carpool payout is credited as non-withdrawable ride credit, not paid out in cash.

Account balances and promotional credits are not a bank account and cannot be withdrawn to a bank. Taxes, if any, are your responsibility except where we are required to collect them.

6. Cancellation and no-shows

Cancellation amounts depend on when you cancel and whether a counterparty has already taken the work. The amounts shown in the app for that trip are the amounts that apply. You are not charged twice for the same cancellation. If the other party cancels, you are not charged that cancellation fee. Reporting a problem is not a cancellation; money moves when someone cancels or the trip completes.

If nobody reports anything within 24 hours after the trip window, we may treat the trip as completed as scheduled and finalize payment.

7. During the trip

Itineraries can change. Walk, carpool, transit, or partner legs may be added or adjusted. We will notify you of material changes. The final price is based on the trip actually completed, within the envelope you approved.

If you allow pooling, others may share a carpool segment with you. You are billed for your own seat. Partner legs require you to book on that platform in the window we give you. Transit fares you pay to board may be reimbursed when the fare is verified, on the terms shown in the app.

You and the operator must follow applicable traffic and safety law. You must not harass, threaten, or discriminate against anyone using the Services.

8. Acceptable use

You will not: use the Services for illegal activity; interfere with other users or the marketplace; scrape or overload the API beyond published limits; bid or route in a way that evades payment, insurance, or the cost-recovery rules; submit false verification or location data; or attempt to access another person’s account.

9. Third-party services

Maps, transit agencies, partner ride apps, SMS, email, and payment processors are third parties with their own terms. If a trip includes a partner booking, you contract with that partner for that booking.

10. Disclaimers

The Services are provided “as is.” We do not guarantee a match, an on-time arrival, or uninterrupted access. Trip times are estimates. We do not control operators, other riders, transit agencies, or partner platforms.

11. Limitation of liability

To the maximum extent permitted by law, Optimize Everything is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost trips, or lost data, arising from the Services or a trip. Our total liability for a claim relating to the Services is limited to the greater of (a) the amounts you paid us for the trip giving rise to the claim in the three months before the claim, and (b) one hundred Canadian dollars (CAD $100). These limits do not apply to liability that cannot be limited under Manitoba law, including liability for fraud or for death or personal injury caused by our negligence where that limitation is prohibited.

12. Indemnity

You will defend and indemnify Optimize Everything and its people against claims and costs arising from your misuse of the Services, your breach of these Terms, or your violation of law, except to the extent caused by our own negligence or willful misconduct.

13. Intellectual property

We own the Services, the Optimize Everything name and marks, and the software. You keep ownership of content you submit. You grant us a licence to use that content to operate the Services. You may not copy or reverse engineer the Services except as allowed by law.

14. Privacy

Our collection and use of personal information is described in the Privacy Policy. Location collection requires a separate consent.

15. Changes and termination

We may change these Terms by publishing a new version. The app records the version you accepted. A material change will ask you to accept the new version. We may stop offering the Services or close your account as described in section 2. You may delete your account in the app. Ledger rows we are required to keep will be retained as described in the Privacy Policy.

16. Governing law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Winnipeg, Manitoba have exclusive jurisdiction, except that we may seek injunctive relief in any forum to protect the Services or other users.
